Terms of Service

These Terms of Service ("Terms") govern your access to and use of the Memverix desktop application, the website at memverix.evognix.com, and the related assistant connection service (together, the "Service"). By accessing or using the Service, you agree to these Terms. If you do not agree, do not use the Service.

1. The Service

Memverix is a local-first evidence search tool. It lets you import files you are authorized to use, indexes their contents on your device, and allows an authorized AI assistant to search and retrieve evidence through the Model Context Protocol. The public gateway authenticates assistant connections and relays requests to the paired desktop app; it does not host your library.

Memverix is a development-stage product. Features, limits and availability may change. The Service is not a backup service, a records-retention system, or a substitute for your own copies of important files.

2. Eligibility

You must be at least 13 years old, or at least 16 where required by local law, and legally able to enter into these Terms. If you use the Service on behalf of an organization, you represent that you have authority to bind that organization.

3. Accounts and Google sign-in

You may sign in with a Google account to identify your local Memverix account. You are responsible for maintaining the security of your Google account, your device and any assistant connection you approve. You must promptly revoke any connection you no longer trust. We do not store Google access or refresh tokens and cannot recover a Google account for you.

4. Your content

You retain ownership of the files and content you import. You grant Memverix the limited rights needed to process, index and return that content to you and to the assistants you authorize. You represent that you have all rights necessary to import and process the content, including any personal information belonging to other people.

You are responsible for the content you import and for the conclusions an assistant draws from it. Memverix returns evidence; it does not verify that evidence is accurate, complete or suitable for a particular purpose.

5. Acceptable use

You agree not to:

• use the Service to violate any law or infringe the rights of others;
• import or process content you do not have the right to use;
• attempt to bypass authentication, rate limits or access controls;
• interfere with, overload or disrupt the Service or another person's use of it;
• introduce malware, automated abuse, scraping or denial-of-service activity;
• use the Service to build a competing dataset by extracting other users' content;
• misrepresent an assistant connection or approve a connection you did not initiate;
• use the Service in a high-risk activity where failure could cause death, injury or significant property damage.

6. Third-party services

The Service interoperates with Google sign-in and with third-party AI assistants. Those services are governed by their own terms and privacy policies. We do not control them and are not responsible for their availability, content or data practices. You are responsible for any fees they charge.

7. Availability and changes

The Service is provided on an "as is" and "as available" basis. Remote assistant access requires your Mac to be awake, online and running the Memverix app. We may modify, suspend or discontinue any part of the Service, including the gateway, at any time. We do not guarantee uptime, data durability or continued compatibility with any assistant or model provider.

8. Termination

You may stop using the Service at any time, sign out, revoke assistant access and delete your local app data. We may suspend or terminate access to the gateway if you violate these Terms, create a security or legal risk, or if we discontinue the Service. On termination, your local data remains on your device unless you delete it. Gateway OAuth grants may be revoked. Sections that by their nature should survive termination, including ownership, disclaimers, limitation of liability and indemnity, will survive.

9. Intellectual property

The Service, including its software, design, text and branding, is owned by Memverix or its licensors and is protected by intellectual-property laws. These Terms do not grant you ownership of the Service. You may not copy, modify, distribute or reverse engineer the Service except as permitted by applicable law or an applicable open-source license. Third-party components and models are governed by their own licenses.

10. Disclaimers

To the maximum extent permitted by law, the Service is provided without warranties of any kind, whether express, implied or statutory, including warranties of merchantability, fitness for a particular purpose, title, non-infringement, accuracy and quiet enjoyment. We do not warrant that the Service will be uninterrupted, error-free, secure, or that any search result or assistant conclusion is accurate or complete.

11. Limitation of liability

To the maximum extent permitted by law, Memverix and its contributors will not be liable for any indirect, incidental, special, consequential, exemplary or punitive damages, or for loss of data, profits, revenue, goodwill or business opportunity, arising from or related to the Service. Our aggregate liability for all claims relating to the Service will not exceed the greater of one hundred US dollars (US$100) or the amount you paid us for the Service in the twelve months before the claim. Some jurisdictions do not allow these limits, so they may not apply to you.

12. Indemnity

You agree to indemnify and hold harmless Memverix and its contributors from claims, damages, losses and expenses, including reasonable legal fees, arising from your content, your use of the Service, or your violation of these Terms or the rights of another person.

13. Governing law and disputes

These Terms are governed by the laws of Nepal, without regard to conflict-of-laws rules. You and Memverix agree to the exclusive jurisdiction of the courts of competent jurisdiction in Nepal, except where mandatory local law gives you a different forum. Before filing a claim, you agree to contact us and attempt to resolve the dispute informally.

14. General

If any provision is found unenforceable, the remaining provisions will remain in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition or sale of assets. These Terms and the Privacy Policy are the entire agreement between you and us regarding the Service.
